The investigation concerns whether certain officers and directors of GFI Group Inc. breached their fiduciary duties owed to GFIG investors in connection with the proposed acquisition.
On July 30, 2014, CME Group and GFI Group Inc. announced CME Group will acquire all of the outstanding shares of GFI Group in exchange for $4.55 per share in CME Group Class A Common Stock. However, given that NYSE:GFIG shares rose in the open market to as high as $4.62 per share on August 6, 2014, the investigation concerns whether the offer is unfair to NYSE:GFIG stockholders. In addition, given that Jersey Partners Inc., GFI Group’s largest stockholder, and the members of the GFI Group management consortium and their respective affiliates have already agreed to vote all of their GFI Group shares in favor of the transaction at the GFI Group stockholder meeting to approve the transaction, the investigation concerns whether the GFI Group Board of Directors undertook an adequate sales process, adequately shopped the company before entering into the transaction, maximized shareholder value by negotiating the best price, and acted in the shareholders’ best interests in connection with the proposed sale.
On August 8, 2014, NYSE:GFIG shares closed at $4.55 per share.
