Biography

Vincent DeMarco is a senior associate based out of the Firm’s Toronto office, where he practices in the Firm’s Securities & Investor Protection group. He has appeared before all levels of court in Ontario, including the Court of Appeal and the Commercial List, as well as the Supreme Court of British Columbia, the Alberta Court of King’s Bench, the Alberta Court of Appeal, and in private arbitration. He has also appeared as a prosecutor before various administrative tribunals. Best Lawyers in Canada has selected Vincent as one of its ‘Ones to Watch’ in Corporate and Commercial Litigation from 2023 to 2026.

Prior to joining the Firm, Vincent’s practice focused on commercial disputes in matters relating to securities, contracts, corporate governance, bankruptcy, civil fraud, real estate, and injunctions.

Vincent graduated from Osgoode Hall Law School, where he represented Canada at the International Championship rounds of the Philip C. Jessup International Law Moot Competition. He also held executive positions with the Legal & Literary Society, the Osgoode Community Enhancement Forum, the Osgoode International Law Society, and the Osgoode Society for Corporate Governance.

  • Landry v. Aurora Cannabis Inc., 2026 ABCA 131 (Alberta Court of Appeal, AB, Canada); 2025 ABKB 387 (Alberta Court of King’s Bench, AB, Canada): successfully resisted Aurora Cannabis Inc.’s attempt to strike the plaintiffs’ claims at the Alberta Court of King’s Bench and on appeal at the Alberta Court of Appeal.
  • Gilchrist v. Just Energy Group, 2025 ONSC 6275 (Ontario Superior Court of Justice, ON, Canada): securities class action that settled for US $25M.
  • Vista Sudbury Hotels Inc. v. The Oshawa Group Limited, 2026 ONSC 313 (Ontario Superior Court of Justice, ON, Canada): successfully represented a retail mall at trial against the Hudson’s Bay Company for breach of contract of an anchor tenant.
  • Stajic v. Wayland Group Corp., 2026 ONSC 1680 (Ontario Superior Court of Justice, ON, Canada): a series of interrelated securities class actions that settled for $8M.
  • McDonald v. Guyana Goldfields Inc., 2025 ONSC 2431 (Ontario Superior Court of Justice, ON, Canada): successful Rule 30.10 motion for production from third-party director, representing one of the first decisions where this relief has been granted before leave to proceed and certification in a securities class action.
  • Bowles v. Reconnaissance Energy Africa, VLC-S-S-233808 (2024) (Supreme Court of British Columbia, BC, Canada): securities class action that settled for $5.075M and the related U.S. action In Re Reconnaissance Energy Africa Ltd. Securities Litigation 1:21-cv-06176-NRM-RML (E.D.N.Y) settled for $9.425M.
  • Kwong v. iAnthus Capital Holdings Inc., 2024 ONSC 1311 (Ontario Superior Court of Justice, ON, Canada): successfully objected to an improvident settlement in a securities class action that lacked evidence concerning estimated class size, recovery per class member, and sufficient investigation.
  • Relvas v. Auxly Cannabis Group Inc., 2023 ONSC 6394 (Ontario Superior Court of Justice, ON, Canada): securities class action that settled for $4M.

Professional, Business and Community Leadership

Vincent has been appointed for a second two-year term on the Young Advocates’ Standing Committee of the Advocates’ Society as one of 40 lawyers under 10 years of call across Canada. The Young Advocates’ Standing Committee is the voice for advocates under 10 years of call within Canada. YASC provides a community of peers, professional development opportunities, and a platform for young advocates to connect, learn, and contribute to the legal profession.

Vincent volunteers with Pro Bono Ontario and its free legal advice hotline and was previously involved with Pro Bono Students Canada while in law school. He is also a former member of the executive board of the Ontario Bar Association’s Environmental Law section.

Vincent is also a member of the Canadian Bar Association and the Ontario Bar Association.
