Berger Montague served as Co-Lead Counsel and obtained a $78.5 million settlement in this lawsuit in which its clients were appointed as sole lead plaintiffs and challenged the procedures relating to a call right that bought out the public unitholders of CVR Refining L.P. by an entity controlled by Carl Ichan. The case was litigated in the Delaware Chancery Court and captioned In re CVR Refining, LP Unitholder Litig., Consolidated C.A. No. 2019-0062-KSJM (Del. Ch.).
On January 31, 2020, Vice Chancellor McCormick issued a Memorandum and Order mostly denying the defendants’ motions to dismiss. After full discovery, the court held a bench trial that was completed on July 31, 2021. Post-trial, the parties reached the settlement that received final approval on December 16, 2022.
