Overview

Case Status: Pending

Ticker Symbol: NYSE: SKX

Investigation Deadline: December 21, 2026

Berger Montague, a leading national plaintiffs’ law firm, announces a class action lawsuit against Skechers U.S.A., Inc. (formerly NYSE: SKX) (“Skechers” or the “Company”) on behalf of investors who sold Skechers securities, or who received the $63 per share merger consideration, during the period from April 24, 2025 through September 12, 2025 (the “Class Period”). The deadline to apply for lead plaintiff is December 21, 2026.

What is this lawsuit about?

The complaint alleges that Skechers’ senior executives, including founder and CEO Robert Greenberg and President Michael Greenberg, teamed up with 3G Capital and financial advisor Greenhill & Co. to buy out the Company’s unaffiliated shareholders at an artificially depressed price of $63 per share in a $9.4 billion take-private transaction. Management allegedly believed tariffs would have a minimal, and possibly even positive, effect on Skechers’ business, yet on April 24, 2025, the Company withdrew its 2025 guidance, citing changes in global trade policies. Between April 23 and April 27, 2025, management also allegedly cut the Company’s financial projections three times, so that the $63 price would appear fair. According to the complaint, the Information Statement left out those facts, as well as the Greenbergs’ December 2024 decision to engage with 3G on an exclusive basis. The Greenbergs also elected the mixed consideration of $57 per share in cash plus one equity unit, a nominal total of $86 per share, which allegedly gave them over $1 billion in cash proceeds while they rolled over more than 18 million shares into the private entity. Shareholders who sold during the Class Period, or who received the $63 merger consideration, allegedly did so at artificially deflated prices.

Who is Skechers?

Skechers, headquartered in Manhattan Beach, California, designs, develops, and markets lifestyle and performance footwear, apparel, and accessories. Skechers’ Class A common stock formerly traded on the New York Stock Exchange under the ticker symbol SKX until the Company was taken private in September 2025.
